These general terms and conditions govern the use of the website operated by Artisanal Street VLA Agency and the services provided by Artisanal Street Lda, registered in Portugal.

2. Services

Artisanal Street VLA Agency provides Virtual Lifestyle Assistant (VLA) placement and related support services. VLAs are independent contractors engaged through Artisanal Street Lda – VLA Agency and assigned to clients based on availability and suitability.

Artisanal Street VLA Agency acts as an intermediary between the client and the VLA and manages administrative and payment processes related to the service.

Artisanal Street VLA Agency does not guarantee specific business outcomes or results from the use of its services.

3. Client Responsibilities

Clients agree to:

• Provide clear instructions, necessary access, and relevant information required for the VLA to perform assigned tasks.
• Ensure that any materials, data, or instructions provided to the VLA do not violate applicable laws or third-party rights.
• Not request, encourage, or require a VLA introduced by Artisanal Street VLA Agency to perform work outside of the services arranged through Artisanal Street VLA Agency.

4. Fees and Payment

Fees for services will be communicated and agreed upon before the commencement of services.

• Clients agree to pay all invoices within the payment terms specified by Artisanal Street VLA Agency.
• Artisanal Street VLA Agency reserves the right to suspend or terminate services in the event of late or unpaid invoices.
• Clients agree not to make payments directly to a VLA for services related to the engagement arranged through Artisanal Street VLA Agency.

If a client engages a VLA directly or makes payments outside the agreed service arrangement without the written approval of Artisanal Street VLA Agency, the client may be liable for a conversion fee or damages equivalent to the estimated value of twelve months of service fees, in addition to any outstanding amounts owed.

5. Non-Circumvention and Non-Solicitation

Clients acknowledge that Artisanal Street VLA Agency invests significant time and resources in sourcing, vetting, training, and matching VLAs with clients.

• Clients agree not to directly or indirectly hire, contract, solicit, or otherwise obtain services from any VLA introduced by Artisanal Street VLA Agency outside of the services provided through Artisanal Street VLA Agency.
• This restriction applies during the service relationship and for a period of 12 months after the termination of services, unless otherwise agreed in writing.
• If a client wishes to hire or engage a VLA directly, the client must obtain written consent from Artisanal Street VLA Agency and may be required to pay a conversion or placement fee determined by Artisanal Street VLA Agency.

Any attempt to bypass Artisanal Street VLA Agency in order to avoid agency fees will be considered a breach of these terms.

6. Confidential Information

Both parties agree to treat any confidential information received during the course of the service relationship as private and not disclose such information to any third party without prior consent, unless required by law.

VLAs engaged through Artisanal Street VLA Agency are bound by confidentiality agreements. Confidential information includes business information, client data, processes, communications, and any materials shared during the engagement.

7. Intellectual Property

Any materials, documents, or work products created by the VLA for the client during the course of the engagement will belong to the client once full payment has been received, unless otherwise agreed in writing.

Artisanal Street VLA Agency retains ownership of its own systems, processes, templates, and internal materials.

8. Data Protection

Artisanal Street VLA Agency processes personal data in accordance with applicable data protection laws, including the General Data Protection Regulation.

Personal data collected through the website or during service delivery will only be used for legitimate business purposes and will be handled in accordance with our privacy policy.

Clients are responsible for ensuring that any personal data shared with Artisanal Street VLA Agency or a VLA is shared lawfully.

9. Limitation of Liability

Artisanal Street VLA Agency will make reasonable efforts to provide reliable services.

However, to the maximum extent permitted by law, Artisanal Street VLA Agency shall not be liable for any indirect, incidental, or consequential damages arising from the use of the website or services.

10. Service Availability

While we aim to provide continuous service, Artisanal Street VLA Agency does not guarantee that the website or services will be uninterrupted or error-free.

11. Termination

Artisanal Street VLA Agency reserves the right to suspend or terminate services if these terms are violated or if payment obligations are not met.

Clients may terminate services in accordance with any agreed notice period.
